Emergency services were called to the New England Highway, near Bendemeer, about 7.30am after a Volkswagen SUV and a sedan collided.
Officers said the woman behind the wheel of the sedan died at the scene. Police said she has not yet been formally identified; however, they believe she is aged in her 40s.
The male driver of the Volkswagen, believed to be aged in his 60s, was taken to Tamworth hospital in a serious condition.
Oxley police and the Crash Investigation Unit are at the scene and investigating the circumstances surrounding the crash.
A report will be prepared for the coroner.
The highway remains closed in both directions.
The crash is the second on the same road after a man was killed near Kentucky on Sunday morning.

A MAN is in a serious condition after a two-car crash north of Tamworth on Thursday morning.
The New England Highway is closed in both directions at Bendemeer after the crash which occurred near Rocky Gully.
Ambulance paramedics were called to the scene shortly before 7.30am after reports two cars collided.
Paramedics treated a male patient who suffered a fractured leg and other injuries, a spokesperson said.
The Westpac Rescue Helicopter from Tamworth was tasked with a medical crew on board.
The doctor and paramedic assessed the man's injuries and escorted the man to Tamworth hospital by road ambulance.

He is believed to be in a serious condition.
A second patient suffered serious injuries in the crash. Their condition is unknown and ambulance paramedics are still at the scene along with RMS and RFS crews, and police.
The chopper is making its way back to base.
The road is closed in both directions and expected to remain closed for some time.
Northbound traffic through Bendemeer is being diverted via the Oxley Highway and Thunderbolts Way to return to the New England Highway.
Southbound traffic is being diverted at Uralla via Thunderbolts Way and Oxley Highway.
Motorists are advised to allow an additional 30 minutes additional travel time.
The RMS said due to the nature of the crash there is no forecast of when the highway will reopen.
