Shortly before 7pm on Friday, emergency services were called to the Oxley Highway after reports that a car had left the road.
Initial investigations suggest a Holden Commodore station wagon, being driven by a 54-year-old man failed to negotiate a sweeping right hand corner.
The Holden left the carriageway, slid across the grass on the side of the road and struck a steel power pole on the passenger side of the vehicle.
The front seat passenger, a 32-year-old woman died at the scene.
The diver was conveyed by ambulance paramedics to Gunnedah Hospital and then airlifted to John Hunter Hospital with critical injuries.
Officers from the Northern Tablelands Crash Investigation Unit have seized the Commodore for a forensic mechanical examination.
A report will be prepared for the Coroner outlining the full circumstances surrounding the woman’s death.
As a result of the crash residents of the Carroll area were without power early Saturday morning.
