The 37-year-old woman, believed to be from Armidale, was struck while walking along Armidale Rd, near the intersection with Woodside Rd at the Mount Falcon Estate, on Monday night.
The accident happened just before 6pm when a Mazda dual-cab ute was travelling south and struck the woman.
The woman was treated by paramedics at the scene and was rushed to Tamworth hospital before she was airlifted to Sydney.
Police confirmed the woman was listed in a critical condition in St George hospital in Sydney last night.
The driver of the ute, a 50-year-old man, was not injured in the crash, but was taken to hospital for mandatory blood and urine testing.
The ute was also seized for forensic and mechanical examination.
Oxley police and officers from the Northern Tablelands Crash Investigation Unit set up a crime scene and launched an investigation into the circumstances surrounding the incident.
The New England Highway was shut for several hours, and traffic diverted via Calala before it reopened late on Monday night.
Inquiries into the incident are continuing and police are urging anyone with information to contact Tamworth Police Station on 6768 2999.
